1. TERMS OF ACCEPTANCE Dear Visitor/User,Welcome to ANPL You are requested to go through the terms and conditions listed below before accepting the agreement. Click on to the 'Accept' button to indicate your acceptance to all the terms & conditions of the agreement. This will complete the process of registration with ANPL. Should you have any objection to any term or condition of this agreement, or any subsequent modifications thereto or become dissatisfied with the service in any way, Member's only recourse is to immediately discontinue use of the service and terminate service membership. ANPL is owned by Agroecommerce Network Private Limited and provides to the members its service, subject to acceptance of the terms and conditions of the agreement (hereinafter referred to as "T&COA") and any rules or policies listed/published thereunder from time to time. Even though these terms and conditions may not be exhaustive, members are expected to make use of the services provided by ANPL ( hereinafter referred to as "Services") only for lawful purposes and for the benefit of society as a whole. Subject to the terms and conditions of T&COA, ANPL provides to its members a non-exclusive, non-transferable, limited license to use any software developed for using the service for its purpose and use. The T&COA may be updated from time to time as per the requirements, without any prior notice/information to the members. The last version shall supercede all prior terms & conditions regarding any subject matter contained therein. The terms & conditions may be different for different sub-sites within ANPL.
2. DESCRIPTION ON SERVICES ANPL has been developed to meet both general and specific requirements of Agricultural communities. Besides this, it provides a rich collection of all on-line information and its contents are for general information and use. ANPL will not charge its members for its service except as otherwise specified. Members in order to obtain-access to the worldwide webs, must provide the following: (i) All equipment's, including a computer and modem, necessary to establish connection to the worldwide. (ii) Pay any fees, including telephone or other connection or service fees, associated with such access. ANPL takes no responsibility, whatsoever, where any of its information has been applied to constitute any advice or making or refraining from any decision. ANPL also excludes responsibility/warranty ( express or implied ) for quality, quantity, accuracy, performance, fitness, timeliness, addition, deletion, omission, concealment, oversight, mis-delivery of service for a particular purpose or any of its contents.
3. INFORMATION SUBMITTED BY USERS Members agree to: (i) Provide true,current, updated, complete and accurate information about them or otherwise as may be required by the service. (ii)Maintain and update, through 'Registered Data', this information regularly and promptly. (iii)All information that the user/member so requires shall be kept confidential unless: (a)The member expressly agrees that such information may be disclosed; or (b)It is required by any law, agency or otherwise.
4. RIGHT TO TERMINATION ANPL reserves the right to terminate its services to any user/member without assigning any reason or giving prior notice and in particular under circumstances where the user is susceptible of purposely giving wrong, untrue, inaccurate or incomplete information.
5. MEMBERS ACCOUNT, PASSWORD & SECURITY On completion of registration process, the member shall receive a password and user id. Such user name, password shall at all times remain the prerogative of the members. Members shall be free to choose their user id and password with a facility to change them by following the instructions on the system. However, member alone is entirely responsible for maintaining the confidentiality of the password and account. ANPL is concerned about privacy & safety of all its users. Members shall ensure and acknowledge that: (i)Full responsibility of all activities under his account and password lies with him. (ii)Shall exit from his account at the end of each session. (iii)Does not pass his user id and password to others. (iv)Agrees to indemnify, defend and hold the services harmless for any liability or expense arising from any such use or misuse whether by him or by others in his account. (v)Notify ANPL of any unauthorized use of member's account or any other breach of security known to him. (vi)Members may also set up a new account and close the old one in accordance with the instructions provided on the system.
6. MODIFICATIONS TO THE SERVICE ANPL reserves the right to modify, suspend, discontinue, temporarily or permanently the services, or part thereof, with or without assigning any reason or notice thereof, to its members or any other user. ANPL shall nor be responsible to indemnify or make good any loss that has or may occur to its members or any user or any other party solely out of this jurisdiction.
7. MEMBERS' ACKNOWLEDGEMENTS Members/users acknowledge and agree that ANPL does not engage in monitoring or exercising editorial control over any message sent through the service and shall also not be liable for failure to do so. ANPL shall neither endorse the contents of any communication sent or received through the service nor assume responsibility for any libelous, threatening, obscene, unlawful, prejudicial, vulgar, abusive, harmful, harassing, offensive or otherwise objectionable text or any other material of any kind or nature contained therein, or any infringement of third party intellectual property rights arising therefrom or any crime facilitated thereby.
8. MEMBER'S CONDUCT As a condition of use of the service provided by ANPL, member is solely responsible for all the contents of transmissions made or received by him. Members use of service is subject to all applicable local, state, national and international laws and regulations. Member is required not to use the service for any purpose that is unlawful or prohibited by these terms & conditions or is otherwise not expected to do. Member is expected to make optimum use of the services for his personal benefit and in the interest of society as a whole. Members agree to the following: (i)All text, information, messages, software, music, audio-video material, photographs, pictures, graphics and any other material, whatsoever, collectively referred as "Material", used/transmitted whether publicly or for private use are at the sole responsibility of member who creates it or has instigated its origin by whatsoever means and intentions. ANPL take no responsibility of keeping a vigil or cautioning or curbing the acts of its users. (ii)Not to use, publish, distribute, transit, disseminate, upload, advertise, post, email, via the service any defamatory, abusive, harassing, infringing, obscene, indecent, threatening, libelous, violative as per the existing laws (local, state, national or international) or otherwise, material or information. (iii)Not to make any unauthorized commercial use, or reproduce, duplicate, copy, sell/resell, or otherwise exploit for commercial use, the services of ANPL. (iv)Not to interfere with or disrupt the services or servers or networks connected to the service or violate the rules, regulations, policies or procedures of such networks. (v)Not to attempt to make any unauthorized access to the service, others accounts, others passwords or any other subject matter within ANPL over which they have no right or control. (vi)Not to transmit or upload any virus, Trojan horses, worms, time bombs, cancelbots or any other harmful or deleterious programs. (vii)Not to attempt to interfere with another member's use and enjoyment of the service or another individual's or entity's use and enjoyment of similar services.
9. LINKS TO ANOTHER SITE ANPL provides to its users the advantage and convenience of providing links with another site through its service. However, this excludes ANPL from any kind of responsibility, whatsoever, for the contents of any of the linked sites. Such other sites are beyond the control of ANPL.
10. DISCLAIMER OF WARRANTIES Members agree to the following: (i)That their use of the service is at their own sole risk. (ii)That the service is provided on 'as is' and 'as available' basis. (iii)That there is no warranty that the service will meet all the members requirements or that the services and information provided therein and through it, will be completely uninterrupted, timely, secure, error-free, accurate, reliable and the service shall not create any warranty which is not expressly made herein. (iv)That member himself will be solely responsible for any damage to member's computer system or loss of data that results from the download or otherwise of such or other material and/or data. (v)That there is no warranty that any error in the software will be corrected.
11. LIMITATION OF LIABILITY The Members agree that ANPL shall not be liable for any direct, indirect, incidental, special, consequential, or exemplary damages, including but not limited to, damages for loss of profits, goodwill, use, data or other intangible losses resulting from any of the following: (i)The use or the inability to use the service normal (ii)The cost of procurement of substitute goods and services resulting from any goods, data, information or services purchased or obtained or messages received or transactions entered into through or from the service. (iii)The unauthorized access to or alteration of the transmissions or data. (iv)The statements or conduct of any third party on the service. (v)Any other matter related to the service.
12. INDEMINIFICATION The member agrees to indemnify and hold ANPL, its parents, subsidiaries, affiliates, officers and employees, harmless of any claim, demand or damage, including reasonable attorneys fees, made by any third party due to or arising out of Member's use of/or conduct on the service, violation of T&COA by Member or infringement by Member, or other user of the service using Member's computer of any intellectual property or other right of any person or entity.
13. PROPRIETARY RIGHTS TO CONTENT Members acknowledge that all contents, including but not limited to the text, software, music, sound, pictures, photographs, video, graphics or any material contained in either sponsor advertisements or email, distribute it, commercially produced information presented to ANPL is protected by copyrights, trademarks, service marks, patents or other proprietary rights and laws; therefore, Member is only permitted to use this content as expressly authorized by the service or the advertiser. Member may not copy, reproduce, distribute, or create derivative works from this content without expressly being authorized to do so by the service or the advertiser. Except as expressly permitted by law, Member agrees not to disassemble or otherwise reverse engineer any of the software of the service for any reason, or permit any third party to do so.
14. GENERAL The T&COA shall for all purposes be governed by and interpreted in accordance with the laws of India as those laws are applied to contracts entered into and to be performed entirely in India by Indian residents. Any suit or proceeding arising out of or relating to this agreement shall be commenced in a competent court in Delhi and each party irrevocably submits to the jurisdiction and venue of such courts.
